Terms of Service

Effective date: 1 September 2026

These Terms of Service ("Terms") govern your access to and use of Zoisial's AI-assisted social-content creation and connected publishing services (the "Services"). By creating an account or using the Services, you agree to these Terms and the Privacy Policy.

1. Acceptance of Terms

By accessing or using the Services, you agree to be bound by these Terms, the Privacy Policy, and the Acceptable Use Policy. If you do not agree, do not use the Services. If you use Zoisial on behalf of an organization, you represent that you have authority to bind that organization. We may update these Terms from time to time; the updated effective date will appear on this page.

2. Service Description

Zoisial helps brands turn descriptions and their own photographs into social-media content for review, download, scheduling, and—where enabled—publishing. The Services may include:

  • Brand profiles, audience and voice guidance, and content briefs.
  • AI-assisted hooks, captions, hashtags, and content suggestions.
  • Single-image and carousel slide generation, editing, layout variations, enhancement, and outpaint.
  • Project review, exports, planning, scheduling, and connected Instagram or TikTok publishing features.

Third-party platforms and the temporary Zernio bridge

Features that depend on Instagram, TikTok, Zernio, OpenAI, Google, Stripe, or another third party are subject to that provider's availability, policies, permissions, quotas, and technical changes. While Zoisial's native Meta application is pending, Instagram publishing may use Zernio. New TikTok connections use Zoisial's own TikTok application, with Zernio retained only as a fallback. Automatic publishing to the TikTok feed depends on TikTok enabling it for Zoisial's application; until then, scheduled TikTok posts are delivered to your TikTok Inbox for you to publish. We may add, change, suspend, or discontinue features when necessary to operate the Services.

3. Account Registration and Security

You must provide accurate information and keep it current. You are responsible for your account credentials, activity under your account, and the security of any connected social-account permissions. Notify us promptly if you believe your account or a connected account has been accessed without authorization. You may not create an account or use the Services where doing so would violate applicable law or a platform's rules.

4. Acceptable Use Policy

You may not use Zoisial to violate law or another person's rights, create or distribute harmful, deceptive, fraudulent, hateful, sexually exploitative, or infringing content, impersonate a person or organization, spam or harass others, evade platform enforcement or rate limits, probe or disrupt our systems, or upload content without the permissions needed to process and publish it. You must also follow the applicable policies of connected platforms and our upstream AI providers, including OpenAI (https://openai.com/policies/usage-policies/) and Google (https://ai.google.dev/gemini-api/docs/usage-policies).

5. Connected Social Accounts and Publishing

When you connect an Instagram or TikTok account, you authorize Zoisial to use the permissions you approve to connect the account, publish content you schedule or approve, retrieve publishing status and links, and provide available performance information. New TikTok connections use Zoisial's own TikTok application. Where TikTok has not enabled automatic feed publishing for Zoisial's application, scheduled TikTok posts are delivered to your TikTok Inbox at the scheduled time and you complete publication in the TikTok app. Instagram publishing and any TikTok fallback use the temporary Zernio bridge, in which case Zernio receives the information needed to connect and publish to your account, including relevant content, public media URLs, publishing settings, and delivery results. Zernio's Terms (https://zernio.com/tos) and Privacy Policy (https://zernio.com/privacy-policy) also apply to that processing. You remain responsible for the content you publish and for complying with the connected platform's terms, developer policies, advertising rules, and community guidelines. A platform or Zernio may reject, limit, label, remove, or delay content, change its API, or make an integration unavailable. You can disconnect an account at any time from Zoisial, Zernio where applicable, or the platform's authorization settings.

6. TikTok native migration and controlled fallback

TikTok's native connection is the default for new connections. Existing TikTok channels connected through Zernio do not silently transfer their authorization or tokens; those channels must be reconnected and may require a new authorization. Zoisial will not silently publish the same scheduled-post row through both connection sources. Zernio remains available as the controlled TikTok fallback and for Instagram publishing while the native Meta application is pending.

7. AI-Generated Content and Human Review

The Services use automated systems and third-party AI models. Their output may be inaccurate, incomplete, biased, unavailable, or unsuitable for a particular audience. You must review every generated claim, caption, image, likeness, layout, and platform setting before downloading, scheduling, or publishing it. Zoisial does not provide legal, medical, financial, advertising, or other professional advice, and AI output is not a substitute for your own review. Do not use generated content to make deceptive claims, create false testimonials, or imply a person's endorsement without the necessary rights and consent.

8. Customer Content, Licence, and Intellectual Property

You retain ownership of the content and materials you provide to Zoisial. You are responsible for having the rights, licences, permissions, and consents needed for us to host, process, adapt, transmit, and display that content. To provide the Services, you grant Zoisial a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, technically adapt, transmit, and display your content, including sending it to configured AI providers and connected platforms. The licence is limited to operating, securing, maintaining, and improving the Services at your direction and ends when the relevant content is deleted, subject to backups, legal retention, and actions already taken at your instruction. Zoisial does not acquire ownership of your content through this licence. Zoisial's software, interface, visual identity, documentation, templates, and other service materials belong to Zoisial or its licensors.

9. Payment and Billing

Paid plans, billing intervals, included allowances, and prices are shown before you subscribe. Stripe processes payments and subscription management for Zoisial; we do not store your full payment-card details. Unless applicable law requires otherwise, subscription charges are non-refundable. You can manage or cancel a subscription through the Stripe customer portal, and cancellation normally takes effect at the end of the current paid period. Failed or overdue payments may limit or suspend paid features. Taxes, withdrawal rights, and other mandatory consumer protections continue to apply where required by law.

10. Privacy and Data Protection

Our Privacy Policy explains how Zoisial collects, uses, stores, retains, and shares personal information, customer content, AI inputs, and connected-platform data. By using the Services, you acknowledge that information may be processed by the providers listed in the Sub-processors Inventory, including Zernio for Instagram publishing or TikTok fallback when enabled, and, when you authorize publishing, by the connected social platform.

11. Service Availability, Disclaimers, and Liability

To the maximum extent permitted by law, the Services are provided on an as-available basis without a guarantee of uninterrupted or error-free operation. We do not guarantee that generated content will be accurate, original, non-infringing, suitable for a particular purpose, accepted by a platform, published at a particular time, or effective for your marketing. We are not responsible for third-party platforms, provider outages, API changes, account restrictions, content moderation decisions, or data supplied by you. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law. To the extent permitted by law, Zoisial will not be liable for indirect, incidental, special, consequential, or lost-profit damages arising from your use of the Services.

12. Suspension and Termination

You may stop using the Services or cancel your subscription at any time. We may suspend or terminate access if you breach these Terms or the Acceptable Use Policy, fail to pay, create a security or legal risk, misuse a connected platform, or if a provider requires us to do so. Where appropriate, we will provide notice and an opportunity to resolve the issue. After termination, access ends and content is handled under the retention and deletion rules in the Privacy Policy. Provisions concerning content licences, intellectual property, payment obligations, disclaimers, liability, and dispute resolution survive termination where their nature requires it.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws that apply at Zoisial's principal place of business, without excluding mandatory consumer-protection rules that apply to you. Disputes will be handled by the competent courts with jurisdiction over that place of business unless applicable law gives you the right to bring a claim elsewhere. Nothing in this section prevents you from using a mandatory consumer or alternative-dispute-resolution process available to you.
